Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the SoseCore marketplace, available at sosecore.com (the "Marketplace", "we", "us", or "our"). SoseCore is operated by Sergey Babayan, an independent sole trader (Individual Entrepreneur) based in Yerevan, Republic of Armenia. Tax registration and full legal entity details are available upon written request from business, regulatory, or law-enforcement partners at support@sosecore.com.
By creating an account, browsing the Marketplace, or completing a purchase, you ("you", "User") agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, which together form a binding agreement between you and SoseCore.
If you do not agree with any part of these Terms, you must not use the Marketplace.
2. Definitions
In these Terms, capitalized words have the following meanings:
- "Marketplace" means the SoseCore platform, including the website sosecore.com, related subdomains, APIs, and any associated services.
- "User" means any person who accesses the Marketplace, whether registered or not.
- "Vendor" means a User who has been approved to list and sell Products or Services through the Marketplace.
- "Buyer" means a User who purchases Products or Services through the Marketplace.
- "Product" means any downloadable digital item listed by a Vendor — including website themes, WordPress plugins, PHP scripts, JavaScript libraries, UI kits, graphics, and source code.
- "Service" means any freelance or custom development work offered by a Vendor to Buyers through the Marketplace.
- "License" means the usage rights granted by a Vendor to a Buyer upon completed purchase, as detailed in Section 10.
- "Payment Processor" means the third-party Merchant of Record (MoR) provider engaged by SoseCore to process all payments on behalf of the Marketplace. The specific Payment Processor in use is disclosed at checkout.
- "Order" means a completed transaction between a Buyer and a Vendor for one or more Products or Services.
3. Eligibility & Account Registration
To use the Marketplace, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher;
- Have the legal capacity to enter into a binding agreement;
- Provide accurate and current registration information and keep it updated;
- Maintain only one personal account, unless you operate multiple businesses (which must each be registered separately and disclosed at signup);
- Comply with all applicable laws in your jurisdiction.
You are responsible for safeguarding your account credentials. You must notify us immediately at support@sosecore.com if you suspect unauthorized access. We are not liable for any loss arising from your failure to protect your credentials.
We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including for violations of these Terms.
4. Marketplace Services
SoseCore operates a two-sided online marketplace that connects:
- Vendors, who list Products and Services for sale; and
- Buyers, who purchase those Products and Services.
SoseCore acts as a facilitator. Except where explicitly stated, SoseCore is not the seller, manufacturer, or licensor of any Product. Vendors are independent third parties responsible for the content, accuracy, quality, legality, and intellectual property of their listings.
SoseCore curates listings for general quality but does not guarantee fitness for any particular purpose. All transactions are between the Buyer and the Vendor, with SoseCore providing the platform infrastructure and a third-party Payment Processor (Merchant of Record) providing payment processing.
5. Acceptable Use
You agree not to use the Marketplace for any unlawful or prohibited purpose. The following are strictly prohibited:
- Uploading or distributing malware, viruses, ransomware, backdoors, cryptocurrency miners, or any code designed to harm Users, devices, or networks;
- Listing Products that infringe upon intellectual property rights of any third party (including unauthorized copies, "nulled" themes/plugins, or pirated software);
- Selling, promoting, or distributing illegal content (including but not limited to child exploitation material, terrorist content, fraudulent schemes, or items prohibited in any major jurisdiction);
- Engaging in phishing, scamming, identity theft, or any form of fraud;
- Manipulating reviews, ratings, sales counts, or any other Marketplace metric;
- Sending unsolicited bulk messages ("spam") through the Marketplace's messaging or notification systems;
- Scraping, crawling, or attempting to reverse-engineer the Marketplace beyond what publicly documented APIs permit;
- Circumventing the Marketplace's payment system to transact directly with Buyers or Vendors;
- Impersonating another User, a Vendor, a SoseCore employee, or any third party;
- Using automated systems (bots) to interact with the Marketplace unless explicitly permitted.
The Marketplace specifically prohibits the listing or sale of any of the following, regardless of legality in any specific jurisdiction:
- Adult content, pornography, or sexually explicit material;
- Weapons, ammunition, firearm parts, or weapon accessories;
- Tobacco, vape products, alcohol, recreational drugs, or controlled substances;
- Gambling services, casino software, sports-betting tips, lottery, or "guaranteed wins" content;
- Financial trading signals, investment advice, forex/crypto pump groups, or "get-rich-quick" / MLM / pyramid schemes;
- Healthcare or medical products, drugs, supplements, or unverified medical advice;
- Anti-virus, anti-malware, or VPN tools sold as Marketplace Products;
- Government documents, identification, counterfeit credentials, or fake certificates;
- Content promoting violence, hate, terrorism, harassment, or discrimination based on protected characteristics (race, religion, gender, sexual orientation, disability, nationality, or age);
- AI-generated content that infringes third-party copyrights or impersonates real persons without consent;
- Deceptive products, fake reviews-for-sale, "engagement boosting" services, or services that violate the terms of other platforms (e.g., follower farming for social networks).
Violation of this Section may result in immediate account suspension, removal of listings, forfeiture of unpaid earnings (for Vendors), and reporting to relevant authorities.
6. Vendor Terms
6.1 Vendor Registration & Verification
To sell on the Marketplace, you must complete vendor onboarding, which may include identity verification (KYC) consistent with our anti-fraud and compliance obligations. We may request government-issued identification, proof of address, or business registration documents. Until verification is complete, you may not receive payouts.
6.2 Vendor Content Ownership
You retain full ownership of all intellectual property in the Products and Services you list. By listing on the Marketplace, you grant SoseCore a non-exclusive, worldwide, royalty-free license to host, display, market, transmit, and distribute your Products and associated content (such as previews, screenshots, descriptions) for the purpose of operating the Marketplace and fulfilling Orders. This license terminates when you remove a listing, except where required to honor Licenses already issued to Buyers.
6.3 Vendor Representations
By listing a Product or Service, you represent and warrant that:
- You own or have the lawful right to license the Product or Service;
- The Product does not infringe any third-party intellectual property, privacy, or other rights;
- The Product is free from known malware and operates as described in your listing;
- You have the legal capacity to enter into and perform under these Terms in your jurisdiction;
- You will provide reasonable post-sale support and Product updates as described in your listing.
6.4 Commission & Tiers
SoseCore retains a commission on each completed sale. Commission rates depend on your Vendor Tier, which advances automatically based on completed Order count:
- Bronze (0–49 sales): 30% commission
- Silver (50–199 sales): 20% commission
- Gold (200–499 sales): 15% commission
- Platinum (500+ sales): 10% commission
Freelance Services are subject to a flat 15% commission. SoseCore may adjust these rates with at least 30 days' prior notice. Existing pending Orders are honored at the rate in effect at time of sale.
Note: The commission percentages above are the platform commission only. The Payment Processor charges its own transaction fee (typically a percentage plus a small fixed amount per transaction, per their published pricing). Payment Processor fees are deducted from the gross payment before the SoseCore commission is calculated, so the net amount paid to the Vendor is: gross sale price − Payment Processor fees − SoseCore commission.
6.5 Payouts & Escrow
All Buyer payments are held in escrow for 14 days following Order completion to allow for refund requests and dispute resolution. After the escrow period, the Vendor share (sale price minus SoseCore commission, minus Payment Processor fees) is released to the Vendor's available balance.
Vendors may request a payout once their available balance reaches the minimum payout threshold of $50 USD. The Payment Processor collects the gross payment from the Buyer; SoseCore then reconciles and disburses the Vendor share separately. Vendor payouts are issued by SoseCore directly to the Vendor using supported methods (bank transfer, PayPal, Wise, or other channels we make available based on the Vendor's country of residence). Payout fees, exchange-rate spreads, or intermediary bank charges, if any, are deducted from the Vendor's payout.
6.6 Vendor Pricing
Vendors set the listing price of their Products and Services in USD. Vendors are responsible for ensuring their pricing complies with applicable tax law in the Buyer's jurisdiction; the Marketplace's Payment Processor handles VAT and similar consumption taxes on the Vendor's behalf as Merchant of Record.
7. Buyer Terms
7.1 Purchase Process
By placing an Order, you make a binding offer to purchase the listed Product or Service at the displayed price. The Order is complete only when payment has been successfully processed by the Payment Processor. Upon completion, you receive a download link, email confirmation, and (where applicable) a License grant under Section 10.
7.2 Buyer Account Requirements
You are responsible for accessing purchased Products through your account. Downloads are tied to your account and not transferable. Lost downloads can usually be retrieved from your account dashboard; if not, contact support@sosecore.com.
7.3 Support Expectations
Post-sale support (e.g., installation assistance, bug fixes, customization help) is provided by the Vendor under the terms specified in each listing. SoseCore does not provide product-level support; we facilitate disputes if the Vendor fails to honor their stated support obligations.
7.4 Service Purchases
When you commission a custom Service from a Vendor, you and the Vendor agree on a scope, deliverables, and milestone schedule via the Service brief. Payment for each milestone is held in escrow and released only when you accept the milestone, or auto-released after 7 days if you do not respond. Communication, deliverables, and revision requests pass through the Marketplace's messaging system so the engagement is fully documented. Service-related disputes follow the escalation process described in our Refund Policy, Section 5.4.
You acknowledge that custom Services are bespoke by nature: refunds are limited to undelivered milestones or to cases of demonstrable Vendor breach, as set out in the Refund Policy. You agree to communicate with the Vendor in good faith and to respond to milestone deliverables within the agreed timeframes.
7.5 Subscription Products
Where a Product is offered as a subscription with recurring billing, by subscribing you authorize the Payment Processor to charge your payment method on the recurring interval shown at checkout (typically monthly or yearly). The following terms apply:
- Free trials, if offered, automatically convert to paid subscriptions at the end of the trial period unless you cancel before the trial ends;
- You may cancel at any time through your account dashboard. Cancellation takes effect at the end of your current paid period — you keep access until then, with no pro-rata refund for the unused portion of a paid period;
- Price changes affecting existing subscriptions will be notified at least 30 days in advance; you may cancel before the new price takes effect to avoid being charged the new amount;
- Failed payments may result in subscription pause or cancellation following the Payment Processor's standard retry schedule (typically 3 retries over a 14-day window);
- Refunds on subscription payments follow the Refund Policy and are generally limited to the most recent billing period.
8. Pricing & Payment Processing
All Products and Services are priced in U.S. Dollars (USD). The Payment Processor may convert payments to local currencies at checkout based on the Buyer's location.
Payments are processed exclusively by our third-party Payment Processor acting as the Merchant of Record. The Payment Processor's identity and a link to their buyer terms are disclosed at checkout. By making a purchase, you agree to those buyer terms. The Payment Processor handles VAT, GST, sales tax, and other consumption taxes on transactions, where applicable.
SoseCore does not store or process payment card details. All financial data is handled by the Payment Processor under PCI-DSS standards.
9. Intellectual Property
9.1 Marketplace IP
The Marketplace's name, logo, design, code, documentation, and all related materials are the property of SoseCore. Nothing in these Terms grants you any right to use SoseCore's trademarks or branding without explicit written permission.
9.2 Vendor Product IP
Vendors retain all intellectual property rights in their Products and Services. Buyers receive only the License set out in Section 10; no transfer of ownership occurs.
9.3 Copyright Complaints
If you believe content on the Marketplace infringes your copyright, send a written notice to support@sosecore.com including: (a) identification of the copyrighted work; (b) the URL of the infringing listing; (c) your contact information; (d) a statement of good-faith belief that use is not authorized; (e) a statement that the information in the notice is accurate; and (f) your signature (electronic acceptable). We respond to valid complaints within 7 business days.
10. License Grants
Unless a Vendor specifies otherwise in their listing, the following standard License terms apply:
10.1 Regular License
A Regular License grants the Buyer the right to use the Product in one end product, either personal or for a single paying client. The Product may not be re-sold, sublicensed, or redistributed.
10.2 Extended License
An Extended License grants the Buyer the right to use the Product in an unlimited number of end products, including products charged to multiple end users (e.g., SaaS, hosted applications, paid services to multiple clients). Re-sale or sublicensing of the Product itself remains prohibited.
10.3 Common License Restrictions
- You may not redistribute the Product itself, in original or modified form, for free or for payment;
- You may not use the Product to build competitive marketplace listings;
- You may not remove copyright notices from the Product;
- Licenses are non-transferable.
10.4 Vendor-Specific License Terms
Where a Vendor specifies different License terms in a listing (e.g., MIT, GPL, custom terms), those terms supersede this Section to the extent of conflict.
11. Refunds
Refunds are governed by our separate Refund Policy. In summary:
- Buyers may request a refund within 14 days of purchase if the Product has not been downloaded;
- If the Product was downloaded but is materially defective (e.g., does not function as described), a refund may still be granted at SoseCore's discretion after review;
- Refund decisions are final, subject to your statutory consumer rights in your jurisdiction.
Refund disputes between Buyer and Vendor are first directed to the Vendor; unresolved disputes may be escalated to SoseCore support.
EU/EEA Consumers — Right of Withdrawal: Under the EU Consumer Rights Directive (Directive 2011/83/EU), consumers ordinarily have a 14-day right of withdrawal for digital purchases. By initiating a download of, or otherwise accessing, the Product before the 14-day period ends, you expressly consent to the immediate execution of the contract and waive your right of withdrawal for that specific Product, as permitted under Article 16(m) of the Directive. This waiver is presented and confirmed at checkout for EU/EEA Buyers.
12. Disclaimer & Limitation of Liability
12.1 "As Is" Basis
The Marketplace and all listed Products and Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.
12.2 No Liability for Vendor Content
SoseCore is not responsible for the accuracy, legality, quality, or safety of Vendor Products or Services. Disputes about Product quality are between Buyer and Vendor, with SoseCore providing dispute facilitation only.
12.3 Liability Cap
To the maximum extent permitted by applicable law, SoseCore's total liability arising out of or related to these Terms or your use of the Marketplace, in any 12-month period, shall not exceed the total fees paid by you to the Marketplace in that period, or USD 100, whichever is greater.
12.4 Excluded Damages
In no event shall SoseCore be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, data, or business opportunity, even if SoseCore was advised of the possibility of such damages.
12.5 Consumer Rights Preserved
Nothing in this Section limits or excludes liability that cannot be limited under applicable consumer protection law in your jurisdiction.
13. Indemnification
You agree to indemnify, defend, and hold harmless SoseCore, its officers, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your User-generated content or listings; (c) your violation of any third-party rights; or (d) your violation of applicable law.
14. Account Suspension & Termination
14.1 Termination by You
You may close your account at any time by contacting support@sosecore.com. If you are a Vendor, any outstanding earned balance above the minimum payout threshold will be released according to our normal payout schedule, subject to escrow and tax-compliance holds.
14.2 Termination by Us
We may suspend or terminate your account immediately, with or without notice, if we reasonably determine that you have:
- Violated these Terms, the Acceptable Use policy, or any applicable law;
- Engaged in fraudulent, deceptive, or abusive behavior;
- Caused or contributed to chargebacks, refund manipulation, or other financial harm;
- Become subject to sanctions or other legal restrictions that prevent us from serving you.
14.3 Effect of Termination
Upon termination:
- Your access to the Marketplace ceases immediately;
- Buyer Licenses to already-purchased Products survive (you keep access to your downloads via account dashboard, preserved by us for at least 36 months after termination, or longer where required by tax or legal record-keeping obligations);
- Vendor listings are removed;
- Earned balances are paid out according to the schedule above, less any chargebacks, refunds, or amounts owed to SoseCore;
- Sections that by their nature should survive (IP, Liability, Indemnification, Governing Law) survive termination.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Armenia, without regard to its conflict-of-laws principles.
Any dispute arising out of or related to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, the dispute may be submitted to the competent courts of Yerevan, Republic of Armenia.
Notwithstanding the above, if you are a consumer based in the European Union or another jurisdiction with mandatory consumer-protection law, you retain the right to bring claims in the courts of your country of residence, and your applicable consumer law continues to apply.
EU consumers may also access information about Alternative Dispute Resolution (ADR) bodies in their country of residence through the European Commission's Consumer Redress portal at https://consumer-redress.ec.europa.eu/dispute-resolution-bodies. This portal replaces the former Online Dispute Resolution (ODR) platform, which was discontinued on 20 July 2025 following the adoption of Regulation (EU) 2024/3228 (repealing Regulation (EU) No 524/2013).
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will:
- Update the "Last updated" date below;
- Notify registered Users by email and/or in-app notification at least 14 days before material changes take effect;
- Continue to honor existing Orders under the Terms in effect at time of sale.
Your continued use of the Marketplace after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Marketplace.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and SoseCore regarding the Marketplace and supersede any prior agreements.
17.2 Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
17.3 No Waiver
Failure by SoseCore to enforce any right or provision shall not be a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, government action, internet or infrastructure outages, or pandemic.
